PUBLIC OFFER

In this public Offer, the following terms shall have the following meanings:
Terms and Definitions
1.1. “Buyer” — any person (citizen, individual entrepreneur, or legal entity) who places an order (hereinafter referred to as the “Order”) for the purchase and delivery of “Flowers and Gifts,” information about which is posted on the “Website,” and thereby accepts (accedes to) this public offer of the Seller to conclude an agreement for purchase and delivery services.
1.2. “Seller” — an organization, regardless of its legal form, selling goods to consumers under a sales contract;
1.3. “Recipient” — persons specified by the Buyer who receive the delivered Flowers and Gifts.
1.4. “Acceptance of the Offer” — full and unconditional acceptance of the Offer by the Buyer by placing an Order on the “Website” and paying for it.
1.5. “Website” — the online store secretflowers.uz containing structured information with descriptions and prices of the Seller’s goods and services.
1.6. “Agreement” — the Agreement for the purchase and provision of delivery services for “Flowers and Gifts.”
1.7. “Flowers” — a composition arranged in accordance with the Buyer’s requirements using professional floristry skills, consisting of flowers and other plants, special packaging (including baskets, flowerpots, boxes, ribbons, etc.), greeting cards and other text carriers, as well as additional gifts presented on the Website.
1.8. “Gifts” — additional and related products presented in the assortment of the Seller’s Website for sale.
1.9. “Order” — an application placed on the Seller’s Website by the Buyer for the purchase and delivery of Flowers and Gifts, containing information agreed upon by both Parties regarding the quantitative and qualitative characteristics of Flowers, the quantity of Gifts, as well as the time, place, and conditions of their delivery.
The list of information to be agreed upon by the Parties when placing the Order is determined by Clause 2 of the Offer.
The Buyer may place an Order on the Website of the online store or through an operator by the phone numbers указанным on the Website, under the terms of this public offer.
1.10. “Price” — the amount of money for which the Seller is ready to transfer (sell) a unit of goods (flowers, gifts).
1.10.1. The price for each product item is indicated on the Website of the online store.
1.10.2. The Seller has the right to unilaterally change the price of any product item presented on the Website of the online store.
1.10.3. When changing the price, the Seller undertakes to update the relevant data on the Website of the online store; otherwise, the price change shall not be considered justified.
1.10.4. The Seller is not allowed to change the price of an Order already paid for by the Buyer.
1.10.5. The Seller indicates the delivery cost of the Order on the Website of the online store or informs the Buyer when placing the Order.
1.10.6. The Buyer’s payment obligations shall be considered fulfilled from the moment the Seller receives the funds.
1.11. “Promotion” — a marketing activity carried out by the Seller aimed at building and increasing Buyer loyalty. The Seller’s Website may contain the following types of promotions: “Promotional Offer” — may be expressed in the form of a discount on the purchase of a specific product item by indicating the price calculation payable with the discount applied (while the original price is crossed out, and the discounted payable price is indicated next to it).
1.11.1. Discounts under different promotions are not cumulative.

Subject of the Agreement
2.1. This public offer (Agreement) is an official offer of LLC “Green Mood Flowers,” the legal entity address, possessing legal capacity and the necessary authority to conclude this Agreement under the terms specified in this offer.
2.2. Acceptance of this offer is the Buyer placing an Order on the website secretflowers.uz
2.3. Based on the concluded offer, the Seller undertakes to sell Flowers in accordance with the current price list, catalogs, and organize the delivery of Flowers to Recipients, and the Buyer undertakes to pay for the Flowers under the terms of this offer. The quantity and name of the Flowers are determined by the Buyer’s Order оформленным in accordance with the Rules posted on the website secretflowers.uz
2.4. The total amount of the Buyer’s Order (hereinafter referred to as the “Order Amount”) includes the purchase price of the Flowers and the delivery cost to the persons specified by the Buyer.
2.5. If the Buyer specifies remote delivery areas or rare types of Flowers when placing the Order, the final price and other terms of the Agreement shall be agreed upon by phone, messengers, or email.
2.6. Flowers shall be delivered to the Recipient at the address specified in the Order. The execution period of the Buyer’s Order depends on the type of Flowers (bouquets and floral arrangements, wedding bouquets), delivery conditions (delivery during working hours, delivery on holidays and pre-holiday days, delivery outside working hours), delivery location, and service area. A detailed description of the conditions for Flower delivery to Recipients is provided in the “Delivery and Payment” section.

Rights and Obligations of the Parties
3.1. The Seller shall:
3.1.1. Independently or with the involvement of third parties organize the delivery and transfer of Flowers to the Recipient according to the accepted Order.
3.1.2. In case of improper quality of Flowers, take actions ensuring satisfaction of the Buyer’s claims related to the improper quality of Flowers: refund all or part of the amount paid by the Buyer for the Flowers, or organize repeated delivery of Flowers of proper quality to the Recipient.
3.1.3. In case the Recipient refuses to accept the Flowers or is absent at the delivery location at the time agreed in the Order, the person delivering the Flowers shall take the Flowers for safekeeping with notification to the Buyer by phone and/or email specified when placing the Order. Flowers accepted for safekeeping must be collected by the Buyer independently within 24 hours from the moment of storage acceptance at the time and place specified by the Seller, unless another period is agreed upon by the Parties, or a new delivery time is agreed upon subject to payment for repeated delivery. After the expiration of the specified period, the Agreement shall be considered fulfilled with retention of 50% (fifty percent) of the cost of the Flowers.
3.2. The Seller has the right:
3.2.1. To retain the full cost of the Order in case the Buyer specifies a non-existent or incomplete address of the Recipient, except in cases where, by agreement of the Parties, the Buyer pays for repeated delivery of Flowers to the corrected address.
3.2.2. To deliver Flowers to an address different from the one specified in the Buyer’s Order, provided that the new address and delivery time are agreed upon with the Recipient.
3.2.3. To refuse delivery without refund of the paid Order Amount, or by agreement of the Parties receive additional payment from the Buyer for delivery cost or Flower cost in case the Buyer specifies the wrong locality of the Recipient.
3.2.4. In case the Buyer cancels the Order for personal reasons not depending on the Seller, retain: 100% (one hundred percent) of the Order cost if cancelled 2 (two) hours before the delivery start time; 50% (fifty percent) of the Order cost if cancelled within 24 (twenty-four) hours and up to 2 (two) hours before delivery start time; 30% (thirty percent) of the Order cost if cancelled within 1 (one) to 3 (three) days before delivery start time; 15% (fifteen percent) of the Order cost if cancelled more than 3 (three) days before delivery start time.
3.3. The Buyer shall:
3.3.1. Pay the Order Amount before the Flowers are delivered to the Recipient in accordance with the conditions of the Order placed by the Buyer. Payment for ordered Flowers may be made by one of the methods described in the “Delivery and Payment” section.
3.3.2. Reimburse the Seller for any additional expenses incurred due to the Buyer’s fault before the Seller fulfills its obligations.
3.4. The Buyer has the right:
3.4.1. To receive discounts when placing an Order. The conditions for receiving discounts are indicated on the Website.

Additional Conditions
4.1. This Agreement enters into force from the moment the Seller receives the Buyer’s Order and remains valid until the Parties fully fulfill their obligations provided for by the Agreement and arising from it.
4.2. When placing the Order, the Buyer confirms that the terms of this Agreement and other conditions specified on the Website at secreflowers.uz at the time of conclusion of the Agreement are accepted by them without any objections and correspond to their true will as the Buyer. When placing the Order, the Buyer has understood the meaning of the terms, words, and expressions used in this Agreement according to their legal definition and/or interpretation in accordance with the legislation of the Republic of Uzbekistan.
4.3. The Buyer agrees that:
4.3.1. Depending on the season, minor changes in the bouquet composition, as well as in chocolate baskets (to equivalent items of equal value), are possible, but no more than 15% of the product composition. Minor deviations in color scheme are also possible, since flowers/products have different color saturation depending on the season.
4.3.2. On holidays, minor changes in the composition of bouquets and arrangements are possible, but no more than 15% of the product composition.
4.3.3. After signing the delivery form, responsibility for storage conditions and care of delivered plants, flowers, and goods passes to the Recipient. Based on this, claims regarding product quality and appearance are not accepted. Flowers are perishable goods.
In accordance with the Resolution of the Cabinet of Ministers of the Republic of Uzbekistan dated 06.04.2017 No. 185, Clause No. 12, cut flowers and potted plants are not subject to exchange or return.
